Registration Process Overview
If you are registering a company for the first time, then you are strongly advised to read the notes provided by Companies House.
Once you have decided to form a UK based Limited company, you can register your Company easily on-line by following a few simple steps.
We have split the process into 9 stages, depending on the complexity of your company, you may not have to complete all 9 stages. Below is a brief description of each stage and what kind of information is expected.
Stage 1. Company Name
As the title suggests, this stage allows you to enter your chosen Company Name. If this is your first time, then you are strongly advised to read the notes from Companies House about Choosing a Company Name; there are certain words that you cannot use. Also, you may want to check that the name is not already registered or that it is not too simmilar to another company previously registered.
At this stage, you can also click the 'Advanced' button to enter 'Section 30' details, Group, Holding or International settings are also in the 'Advanced' section. Also, if your submission was rejected previously, you enter the rejection code in this section to inform us and Companies House that this is a re-submission.
If you have previously entered the Company details and saved, you can also reload this information at this stage by selecting the appropiate name from the drop down list. This will enable a new option, 'Save As' will appear, this allows you to save the current Company under a new name whilst keeping the same details for Registered Address, Secretary etc.
Stage 2. Address
This stage asks for the Registered Address for the proposed Company. Many Companies have their registered address as their Accountant's address. Please make sure that you enter the details correctly as all future communications from Companies House will use this address.
This stage also introduces the Address Book feature of our system. When you enter an address into the system, this can be the Registered Address, the address of the Secretary and / or Directors, it automatically saves this address to the Address Book allowing you the ability to select an address from a list of previously used addresses to make entry easier. These is especially advantageous to customers who are looking to register companies more frequently.
Stage 3. Shares
Here you enter the number of shares that you want to be issued when the Company is registered. You can only issue 'Ordinary' shares at this moment of time. The most commonly used number of shares issued upon registration is 1, 100 or 1000. It is worth noting that each share issued will have a value of £1.00 Sterling.
Stage 4. Secretary
The fourth stage is where you enter the Company Secretary details. The Company Secretary is general responsible for company administration and filing the annual accounts etc. The Company Secretary can also be a Director providing that an additional Director is declared.
The Company registration requires a body to be identified as the declarent, this is the body who ensures that the information submitted to Companies House is correct, the Secretary can be marked as the declarent by ticking the 'Is Declarent' option. The Secretary requires no formal qualifications and can be an individual or a Corporate Body.
Note: Only one of the Secretary or Director can be the declarent.
Stage 5. Director
The stage is where you enter the Company Director details. Every Company must have at least 1 Director. This is still valid even if the option for the Company Secretary to be a Director is selected. The Director requires no formal qualifications and can be an individual or a Corporate Body.
The Company registration requires a body to be identified as the declarent, this is the body who ensures that the information submitted to Companies House is correct, the Director can be marked as the declarent by ticking the 'Is Declarent' option.
Note: Only one of the Secretary or Director can be the declarent.
Stage 6. Officers
Stage 6 allows you to enter upto 12 officers for the Company.
Stage 7. Error Check
This stage does some basic checking on the information you have entered to give an idea whether your submission will be successful or not.
Please note that this utility for checking errors is provided for your convenience only. It checks for basic errors, omissions and oversights. It can not check for all errors and you are advised to make sure that all the details are correct. If the system does not detect any errors then it does NOT mean that the submission will be successful. Success or failure can only be determined by Companies House.
Choosing a Company Name
Section 30 - Companies Act 1985
| (1) | Certain companies are exempt from requirements of this Act relating to the use of "limited" as part of the company name. | ||
| (2) | A private company limited by guarantee is exempt from those requirements, and so too is a company which on 25th February 1982 was a private company limited by shares with a name which, by virtue of a licence under section 19 of the Companies Act 1948, did not include "limited"; but in either case the company must, to have the exemption, comply with the requirements of the following subsection. | ||
| (3) | Those requirements are that - | ||
| (a) | the objects of the company are (or, in the case of a company about to be registered, are to be) the promotion of commerce, art, science, education, religion, charity or any profession, and anything incidental or conducive to any of those objects; and | ||
| (b) | the company's memorandum or articles - | ||
| (i) | require its profits (if any) or other income to be applied in promoting its objects, | ||
| (ii) | prohibit the payment of dividends to its members, and | ||
| (iii) | require all the assets which would otherwise be available to its members generally to be transferred on its winding up either to another body with objects similar to its own or to another body the objects of which are the promotion of charity and anything incidental or conducive thereto (whether or not the body is a member of the company). | ||
| (4) | A statutory declaration that a company complies with the requirements of subsection (3) may be delivered to the registrar of companies, who may accept the declaration as sufficient evidence of the matters stated in it; and the registrar may refuse to register a company by a name which does not include the word "limited" unless such a declaration has been delivered to him. | ||
| (5) | The statutory declaration must be in the prescribed form and be made - | ||
| (a) | in the case of a company to be formed, by a solicitor engaged in its formation or by a person named as director or secretary in the statement delivered under section 10(2); | ||
| (b) | in the case of a company to be registered in pursuance of section 680, by two or more directors or other principal officers of the company: and | ||
| (c) | in the case of a company proposing to change its name so that it ceases to have the word "limited" as part of its name, by a director or secretary of the company. | ||
| (6) | References in this section to the word "limited" include (in an appropriate case) its Welsh equivalent ("cyfyngedig"), and the appropriate alternative ("ltd.", or "cyf.", as the case may be). | ||
| (7) | A company which is exempt from requirements relating to the use of "limited" and does not include that word as part of its name, is also exempt from the requirements of this Act relating to the publication of its name and the sending of lists of members to the registrar of companies. | ||
Spaces & Punctuation Marks
When checking if a company name is already registered then punctuation marks and spaces are ignored.
Sensitive Words and Expressions
These are words and expressions that, when used in a limited liability partnership name, may imply business pre-eminence, a particular status or a specific function. For this reason, they have been prescribed in regulations as requiring the approval of the Secretary of State. The aim is to ensure that use of the word is justified so that the public is not misled by the name. We act on behalf of the Secretary of State in dealing with applications for approval of such words and expressions.
Senstive Words List
Use of these words or expressions in the company name assumes that the company or organisation will be of a particular type. As such will require the approval of the Secretary of the State.
